Morri Rossetti in the project finance for Cittadella Sanitaria Treviso

BonelliErede assisted a banking pool composed by Unicredit, Banca Europea per gli Investimenti, Banca Imi, Intesa Sanpaolo and Banca Prossima in relation to the project finance for the realization of the Cittadella Sanitaria at the Presidio Ospedaliero of Treviso, awarded to Ospedal Grando, a project company founded by Finanza e Progetti, Siram, Lendlease Construction (EMEA), Carron Cav. Angelo, Apleona Hsg and Tecnologie Sanitarie.

This is the biggest project finance initiative regarding healthcare in Italy in the last few years - so reads a note - which presents an innovative financial structure that, thanks to the collaboration with Bei, will generate savings for 1.8 million. This amount will be totally reinvested in the capitalization of a new impact vehicle, Ospedal Grando Impact Investing, aimed to investments in innovative solutions, in the fields of research or health, for the benefit of the community.

The total investment, which benefits from the guarantee of the European Funds for the Strategic Investment, amounts approximately to 220 million and is funded by a project finance of 82 million as well as by the same shareholders of Ospedal Grando, public funds and operating cash flow.

Catia Tomasetti led BonelliErede banking team, supported by Daniela De Palma. Anna Comanducci and Lisa Borelli dealt with the preparation and negotiation of the financial documents, Roberto Flammia and Silvia Morando with the project contracts; Giovanna Zagaria and Giovanna Salatino took care of administrative aspects and Roberta Padula of the corporate issues.

Ospedal Grando was assisted by Ashurst in relation to the preparation and negotiation of the financial documents for the project finance; the team was led by Carloandrea Meacci, partner, and composed also by Umberto Antonelli (counsel), Andrea Semmola (associate) and  Choi da Sol (trainee). The company was advised also by Lombardi Segni e Associati, with a team composed by Nicola Gaglione and Federico Montorsi in relation to the aspects related to project contracts and Marco Bitetto for the corporate issues and for the negotiation of the investment agreements and the shareholders’ agreements.

Legance assisted Banca Europea per gli Investimenti as special counsel, dealing with a review of the entire financial documentation (included the  agreements among creditors) and the project contracts, to ensure the transposition in such documents of the provisions which typically characterizing the participation of an institutional investor‎. The team was led by the partner Monica Colombera, supported by the managing associate Simone Ambrogi.

Morri Rossetti assisted Apleona Hsg, partner of Ospedal Grando, in relation to the negotiation of the financial documents related to the project financing, the investment agreements, the shareholder agreements and the project documents. The team was led by Cristina Cengia, partner of the Firm, supported by Roberta Incorvaia, senior associate, and Isabel Bassanelli, junior associate, as well as by the associate Samantha Di Mauro as for the administrative law aspect.

Carron Cav. Angelo - partner of Ospedal Grando and parent company and representative of the temporary clustering who awarded the design and the construction of the Cittadella Sanitaria - was advised by the general counsel Andrea Dal Negro and by Guido Sartorato, from the Firm Borella Sartorato e associati.

The entire deal was handled, as for the notarial aspects, by the Firm Notai Trezza - Forino.
