Morri Rossetti with MedicAir Group in the acquisition of ADI Gruppo Sanimedica

Morri Rossetti assisted MedicAir Group in the acquisition of ADI Gruppo Sanimedica, a company specialising in integrated home care in several Italian regions, which has experienced significant growth in recent years.

The transaction is part of the systematic expansion plan of MedicAir Group, a major player that has been active for decades in the development of home care technologies, hospital services and medical gases, with more than 900 employees in 27 locations in Italy and Switzerland, and a turnover of more than €200 million

The acquisition was finalised through the subsidiary Finisterre, a company specialising in care pathways and home healthcare, which recently entered the Group. The objective of MedicAir is to strengthen the offer of welfare services throughout the country through an additional proximity network, with an innovative model that makes it possible to significantly reduce recovery times and hospitalisation, providing healthcare support directly in the patients' homes.

For all legal aspects relating to the acquisition, MedicAir Group and Finisterre were assisted by our partner Matteo Gariboldi and Claudio Sironi, Head of Legal of MedicAir Group. The selling shareholders of ADI Gruppo Sanimedica were instead assisted by Gerardo Spaltro.

For the accounting, tax and corporate due diligence and financial planning of the transaction, Finisterre was assisted by Roberto Turra, partner of Quality Consulting, and Cesare Orienti, partner of GBO Studio.
